Service Platform: Bossed Up Distribution Portal (“Portal” or “Service”)
PLEASE READ THIS MASTER DIGITAL DISTRIBUTION AGREEMENT AND TERMS OF SERVICE (“AGREEMENT”) CAREFULLY BEFORE CREATING AN ACCOUNT, PURCHASING A SUBSCRIPTION, OR SUBMITTING ANY CONTENT TO THE BOSSED UP DISTRIBUTION PORTAL.
THIS AGREEMENT IS A LEGALLY BINDING CONTRACT OPERATED BY BOSSED UP RECORDS LLC, A PENNSYLVANIA LIMITED LIABILITY COMPANY. BY CHECKING THE TERMS ACCEPTANCE BOX, SUBMITTING CONTENT AT BOSSEDUPRECORDSLLC.COM, OR UTILIZING ANY SERVICES PROVIDED THROUGH THE BOSSED UP DISTRIBUTION PORTAL, YOU (“ARTIST,” “LABEL,” “LICENSEE,” “USER,” OR “YOU”) AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.
1. Scope of Services & Grant of Rights
1.1 Non-Exclusive Grant of Rights
You hereby grant to Company, during the Term and throughout the Territory (Worldwide), the non-exclusive, sublicensable right and license to:
Distribute & Monetize: Reproduce, encode, manufacture, distribute, sub-license, transmit, stream, download, perform, and display your sound recordings, musical compositions, artwork, metadata, music videos, and lyrics (collectively, "Content") across all Digital Service Providers ("DSPs"), including but not limited to Spotify, Apple Music, Tidal, Amazon Music, YouTube, YouTube Music, TikTok, Instagram, Vevo, and Deezer.
Fingerprinting & Monetization: Fingerprint, claim, and collect ad revenue and user-generated content (UGC) earnings via automated audio identification networks, including YouTube Content ID, Meta rights registry, and TikTok audio systems.
Promotional Usage: Use your name, stage name, likeness, logos, and promotional images solely in connection with the marketing, distribution, and promotion of your Content and the Bossed Up Distribution Portal.
1.2 Ownership Retention
You retain 100% of your copyright ownership in all sound recordings, underlying compositions, and visual artwork submitted. This Agreement is a distribution license granted to Bossed Up Records LLC, not a transfer of copyright ownership.
2. Subscription Plans, Pricing & Term Duration
2.1 Annual Subscription Model
All primary distribution plans operate on a 1-Year (365-day) Annual Subscription Lease Cycle:
Boss Like Plan ($14.99 / year): Distribution for one (1) Single Release (up to 1 track).
Boss Moves Plan ($24.99 / year): Distribution for one (1) EP / Pack Release (2 to 4 tracks).
Bossed Up Plan ($99.99 / year): Unlimited Single, EP, and Album releases for one (1) primary artist brand for 12 months. Includes YouTube Content ID monetization.
Bossed Up Elite Pass ($249.99 / year): Unlimited audio releases for 12 months, included audio mastering on all audio drops, included YouTube Content ID monetization, included Official Vevo Channel Creation + 2 video deliveries per year, and up to 5 free cover song mechanical clearances per year.
2.2 Add-On Service Fees
Services purchased as single items or added to distribution orders carry the following standalone rates:
Audio Mastering: $100.00 per track (Included in Elite Pass)
Official Vevo Channel Setup & 1st Video Delivery: $49.99 (Included in Elite Pass)
Vevo Video Delivery (Existing Channel): $24.99 per video
Cover Song Mechanical License: $29.99 per track (Up to 5 included/year in Elite Pass)
YouTube Content ID & Social Fingerprinting: $9.99 per single/album (Included in Bossed Up & Elite Pass)
2.3 Strict Non-Refundability Policy
All subscription fees, single distribution fees, mastering fees, Vevo channel setup fees, mechanical licensing fees, and add-on payments paid to Bossed Up Records LLC are 100% NON-REFUNDABLE once a submission form or financial transaction has been processed. Fees will not be refunded or prorated in cases of voluntary account cancellation, metadata edit requests, store rejections due to non-compliant assets, or catalog takedowns resulting from copyright or fraudulent activity violations.
2.4 Subscription Renewal
Subscriptions automatically lapse at the conclusion of their 12-month period unless renewed by the User prior to the expiration date.
3. Royalties, Accounting & Payout Terms
3.1 Royalty Share
Company charges 0% commission on net streaming master royalties collected from DSPs. You retain 100% of Net Master Royalties collected directly from third-party music services for your releases.
3.2 Minimum Payout Threshold
The standard account withdrawal threshold is $10.00 USD.
No payout requests will be processed for account balances under $10.00 USD.
Balances will accumulate until the $10.00 threshold is reached. Higher minimum thresholds (e.g., $50.00 to $100.00 USD) may apply to international wire transfers based on intermediary banking fees.
3.3 Accounting Schedule & Reporting Delays
Royalties are credited to user accounts as reports and payments are received from DSPs. You acknowledge that DSPs report earnings on a 30-day to 90-day time delay (e.g., streams generated in January are typically reported and credited in March or April).
3.4 Collaborator Splits
You may allocate percentage splits to producers, featured artists, and engineers. Collaborators must accept the split invitation, register a payout account, and complete required tax documentation (W-9 or W-8BEN) to receive direct automated split disbursements. Company is not liable for unpaid splits caused by incorrect collaborator email entries or failure of collaborators to register.
4. Copyright Warranties & Anti-Fraud Enforcement
4.1 Warranties & Representations
You represent and warrant that:
You are at least 18 years of age (or have explicit parental/guardian consent) and possess full legal authority to enter into this Agreement.
You own or have secured 100% of the necessary rights, licenses, clearances, and permissions from all vocalists, producers, engineers, sample owners, and rights-holders involved in the creation of the Content.
The Content does not infringe upon any copyright, trademark, privacy right, or intellectual property right of any third party.
You have obtained statutory mechanical licenses for any cover songs submitted ($29.99 clearance or Elite Pass voucher required).
4.2 Prohibited Streaming Manipulation & Fraud
You are strictly prohibited from engaging in, authorizing, or encouraging artificial streaming, click farms, automated bots, pay-for-placement playlist manipulation, or fraudulent copyright claims.
4.3 Anti-Fraud Rights & Penalties
If Company or its backend distribution partners detect suspicious, artificial, or fraudulent activity associated with your account or Content:
Immediate Freezing of Funds: Company reserves the right to freeze all pending royalty balances, split payments, and account cash-outs indefinitely.
Catalog Takedown & Termination: Company reserves the right to issue immediate catalog-wide takedown notices across all DSPs and permanently terminate your account without prior notice.
Forfeiture & Fees: All frozen royalties will be forfeited and returned to DSPs or applied toward administrative costs, legal fees, and third-party fines resulting from the fraudulent activity.
Legal Action: Company reserves the right to report severe copyright infringement, impersonation, or streaming fraud to law enforcement and affected rights-holders.
5. Quality Control (QC) & Rejection Rights
Company reserves the right to review all audio files, artwork, and metadata submitted via bosseduprecordsllc.com. Company may reject, edit, or require revisions to any submission that fails to meet DSP technical guidelines, including but not limited to:
Low-resolution artwork (under 3000 x 3000 pixels, blurry, or containing URLs/social handles).
Audio files containing silent gaps, distortion, or improper mastering levels.
Misleading metadata, unauthorized artist name tags, public domain samples, or generic sound effect collections.
6. Limitation of Liability & Indemnification
6.1 Indemnification
You agree to defend, indemnify, and hold harmless Bossed Up Records LLC, its backend technological suppliers, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, expenses, or legal fees (including attorney's fees) arising out of or related to:
Any breach or alleged breach of your warranties, representations, or covenants in this Agreement.
Any claim that your Content infringes upon the copyright, trademark, or intellectual property rights of a third party.
Any dispute between you and your collaborators, featured artists, producers, or split recipients.
6.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOSSED UP RECORDS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA ARISING FROM THE USE OF OUR SERVICES OR ANY DSP OUTAGE, TAKEDOWN, OR PROCESSING DELAY. COMPANY’S AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any legal action, claim, or dispute arising under or relating to this Agreement shall be resolved through binding individual arbitration conducted in the Commonwealth of Pennsylvania, administered under the commercial rules of the American Arbitration Association (AAA). You explicitly waive any right to participate in class-action lawsuits or class-wide arbitration proceedings.
8. Amendments & Severability
Company reserves the right to modify or update this Agreement at any time by publishing updated terms on bosseduprecordsllc.com or providing written notice via Bosseduprecordsllc@gmail.com. Your continued use of the platform and receipt of distribution royalties following any updates constitutes acceptance of the modified Agreement. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9. Cancellation, Non-Renewal & Catalog Takedown Policy
9.1 User-Initiated Subscription Cancellation
You may cancel your annual subscription auto-renewal at any time prior to your next billing cycle through your portal settings or by sending a written cancellation request to Bosseduprecordsllc@gmail.com.
Effect of Cancellation: Canceling an auto-renewal stops future recurring charges. It does not automatically remove your distributed Content from stores.
Active Status: Your distributed music will remain live across DSPs through the remainder of your active paid 12-month cycle unless you explicitly request an immediate catalog takedown.
9.2 Early Takedown Requests
If you request an immediate removal of single tracks, EPs, or your entire catalog before your 12-month subscription period ends:
Company will process and transmit formal takedown notices to DSPs within 3 to 5 business days. Complete removal across all digital platforms typically takes 2 to 14 business days depending on individual DSP processing queues.
No Refunds: Per Section 2.3, requesting an early catalog takedown does not entitle you to a full, partial, or prorated refund of any subscription, mastering, Vevo, or add-on fees paid.
9.3 Non-Renewal & Expiration Takedowns
If an annual subscription lapses and is not renewed at the conclusion of the 365-day term:
Company reserves the right to issue automated catalog-wide takedown notices across all distributed DSPs.
Alternatively, Company may, at its sole discretion, elect to keep your catalog live and retain a 15% administrative maintenance fee from incoming net royalties to cover continuous hosting and accounting overhead until the subscription is renewed or formally closed.
9.4 Company-Initiated Account Termination
Company reserves the right to immediately suspend or terminate your account, remove all distributed Content from DSPs, and terminate this Agreement without prior notice under the following circumstances:
Breach of Copyright Warranties: Unauthorized use of samples, uncleared cover songs, bootlegs, or impersonation of other artists.
Fraudulent Activity: Detection of artificial streaming manipulation, click farms, bot activity, or deceptive metadata practices.
Payment Failures & Chargebacks: Issuing unauthorized credit card chargebacks, fraudulent payment methods, or failing to settle unpaid balances.
Platform Abuse: Harassment, threats, or abusive conduct directed at Company staff, contractors, or infrastructure.
9.5 Post-Cancellation Royalty Settlements & Residual Earnings
Delayed DSP Royalty Accounting: Because digital stores report and pay streaming revenue on a 30 to 90-day delay, royalties generated during your active distribution period will continue to accrue in your account balance even after cancellation or takedown execution.
Remaining Balance Cash-Out: You retain access to your payout dashboard following cancellation to withdraw remaining earnings, provided your balance satisfies the $10.00 USD minimum payout threshold and your account has completed required tax and identity verification.
Forfeiture for Cause: If your account is terminated due to confirmed copyright infringement, fraudulent streaming, or illegal activity, all accrued balances and pending payouts are permanently forfeited per Section 4.3.

Bossed Up Records LLC respects your privacy and is committed to protecting the personal and proprietary data of our artists, label partners, and platform users. This Privacy Policy outlines how Bossed Up Records LLC collects, uses, discloses, and safeguards your information when you visit bosseduprecordsllc.com, submit music, or use any services provided through the Bossed Up Distribution Portal.
1. Information We Collect
We collect several types of information to provide music distribution services, process royalty payouts, comply with tax laws, and prevent copyright or streaming fraud:
Personal Identification Data: Legal name, stage/artist name, mailing address, phone number, email address, and account credentials.
Identity Verification: Government-issued ID when required for fraud prevention, copyright dispute resolution, or payout verification.
Music Catalog & Metadata: Audio files, music video files, cover artwork, liner notes, lyrics, song titles, ISRC/UPC codes, and copyright notices.
Financial & Tax Data: Payment details (processed securely via Stripe or authorized payment processors), bank account details for payouts, SSN/EIN, and Form W-9 / W-8BEN for royalty split tax reporting.
Technical Data: IP addresses, browser type, device information, and time-stamped submission records.
2. How We Use Your Information
We use collected information for essential operational and legal purposes:
Music & Video Distribution: Delivering audio, video, artwork, and metadata to DSPs (Spotify, Apple Music, YouTube, Vevo, etc.) via our backend distribution infrastructure.
Royalty Accounting & Splits: Processing streaming earnings, calculating collaborator splits, and executing payout transfers.
Rights Management: Enrolling tracks into automated identification networks (YouTube Content ID, Meta, TikTok) to collect UGC ad revenue.
Tax Compliance: Preparing annual tax forms (IRS Form 1099) for artists and split recipients.
Platform Security & Anti-Fraud: Monitoring releases for artificial streaming, bot activity, uncleared samples, and copyright theft.
3. Disclosure & Sharing of Information
We do not sell or rent personal data. We share data only with necessary operational partners:
Digital Service Providers & Delivery Partners: Transmitting music catalog assets to DSPs and backend supply-chain delivery infrastructure.
Payment Gateways & Financial Institutions: Executing subscription transactions and royalty payouts via encrypted processors (Stripe, PayPal, or authorized payment processors).
Legal Authorities: Disclosing records when required by law, court order, subpoena, or to enforce copyright compliance (DMCA).
4. Data Security & Retention
Retention: Personal data and catalog metadata are retained for as long as your account remains active or as required by tax and financial auditing laws (typically 7 years).
Security: We implement industry-standard administrative, technical, and physical security measures to safeguard user data.

Bossed Up Records LLC respects the intellectual property rights of artists, songwriters, producers, and record labels. In accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”), 17 U.S.C. § 512, Bossed Up Records LLC will respond expeditiously to notices of alleged copyright infringement submitted regarding content distributed through the Bossed Up Distribution Portal.
1. Submitting a DMCA Takedown Notice
If you are a copyright owner, or an authorized agent thereof, and believe that any sound recording, musical composition, artwork, or video distributed through the Bossed Up Distribution Portal infringes upon your copyright, you may submit a formal notification to our Designated Copyright Agent containing the following information:
A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Identification of the copyrighted work claimed to have been infringed (e.g., song title, artist, album, or registration number).
Identification of the material that is claimed to be infringing and that is to be removed, including specific URLs, store links, ISRC codes, or UPC codes.
Information reasonably sufficient to permit Company to contact you, such as an address, telephone number, and email address.
A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

2. Counter-Notification Procedure
If a user of the Bossed Up Distribution Portal believes that their distributed Content was removed or disabled by mistake or misidentification, the user may submit a written Counter-Notification to our Copyright Agent containing:
The user's physical or electronic signature.
Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed.
A statement under penalty of perjury that the user has a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.
The user's name, address, and telephone number, and a statement that the user consents to the jurisdiction of the Federal District Court for the judicial district in which the address is located, and that the user will accept service of process from the person who provided the original DMCA notification.
Upon receipt of a valid Counter-Notification, Bossed Up Records LLC will forward a copy to the original complaining party. If the complaining party does not file a court action seeking a judicial order against the user within 10 to 14 business days, Company may restore or re-enable the distributed material.
3. Repeat Infringer Policy
In accordance with Section 512(i) of the DMCA, Bossed Up Records LLC maintains a strict policy regarding repeat infringers. Any user or account holder who receives multiple legitimate DMCA takedown notices or copyright strikes will have their account permanently terminated, catalog removed from all DSPs, and pending royalty payouts forfeited per Section 4.3 of our Master Distribution Agreement.
